Acceptance of terms

By accessing the site, booking an Executive Study, or otherwise using our services, you confirm that you can form a binding contract and that you accept these terms on behalf of yourself and any organisation you represent.

Use of the services

We provide AI strategy, workflow automation, agent deployment, and related advisory services. The specific scope, deliverables, and fees for an engagement are set out in a separate statement of work or order form, which takes precedence over these terms where they conflict.

Accounts and access

If we provide you access to a dashboard or tool, you are responsible for keeping your credentials secure and for activity under your account. Tell us immediately if you suspect unauthorised use.

Acceptable use

You agree to use the services lawfully and not to misuse them. In particular, you will not:

Fees and payment

Fees are described in the applicable order form and are payable within the stated terms. Unless noted otherwise, fees are exclusive of taxes, and late amounts may accrue interest. Except where required by law, payments are non-refundable.

Intellectual property

We retain all rights in our methods, software, and pre-existing materials. You retain rights in your data and the materials you provide. Work product created specifically for you under an engagement is licensed or assigned to you as set out in the relevant statement of work.

Confidentiality

Each party will protect the other’s confidential information with reasonable care, use it only to perform under these terms, and disclose it only to those who need it and are bound by similar obligations. This does not apply to information that is public, independently developed, or lawfully received from another source.

Warranties and disclaimers

We perform the services with reasonable skill and care. Except as expressly stated, the services are provided “as is” to the fullest extent permitted by law, and we do not warrant uninterrupted or error-free operation or any particular business outcome.

Limitation of liability

Neither party is liable for indirect or consequential losses, and each party’s total liability is capped at the fees paid for the engagement giving rise to the claim, except for liability that cannot be limited by law.

Termination

Either party may terminate an engagement as set out in the order form, or for material breach that goes uncured after notice. On termination, you will pay for services performed up to that date, and each party will return or delete the other’s confidential information on request.

Governing law

These terms are governed by the laws of India, and the courts of Pune, Maharashtra have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections in your place of residence.
